• The company – TECHNOBIZZ MARKETING SOLUTIONS LIMITED, a public limited company incorporated under the Companies Act, 1956 and having its Registered Office at: 401, 2ndFloor, Shyam Shakuntala Complex, Nehru Nagar Bhilai – 490022 (Chhattisgarh) is the Principal, engaged in the business of marketing, supply, distribution, promotion and dealing in all respect of all types of consumer goods, merchandise, appliances, equipments etc. and provide such services to facilitate the above, all across the country & abroad through retail distributors. We have started as an Proprietorship Firm in 2009 and then we have converted our entity into a private limited venture after that we observed unimaginable level of interest of public in our company so again we have converted our entity into a closely held public limited venture. We are having all the legal requirements and trade marks to commence our business in India and abroad.

• 2. Business Associate Criteria
• The applicant is an individual, citizen of India and of more than 18 years of age, competent to enter into a business agreement, hereby applies to the company to become a Business Associate of it for development & promotion of company’s business for such consideration offered by the company. The request for PIN will be served after 24 hours of acknowledgement of Payment.
• 3. Scope of Services
• The Business Associate hereby agrees to provide to the Company and the Company hereby agrees to avail of, the services related to promotion and development of business related to marketing, supply, distribution, promotion and dealing in all respect of all types of consumer goods, merchandise, appliances, equipments etc.
• 4. Business Package
• • a) The price of TBZ Business Package is Rs. 4999/- (Rupees Four thousand nine hundred ninety nine only), inclusive of all Taxes, and/or the price as fixed by the company from time to time. The business package is valid for the Product and Services of the company within the ambit of this transaction / supply contract for the period of one year. Next year if a Business Associate is willing to renew the product, the relevant consideration towards Annual Maintenance Charge for the next year has to be paid on such Terms & Conditions as specified in other para.
  • b) The amount of business package paid to the company is not refundable. The purchased Business Package is delivered immediately after the registration process is over only after sending online PRC Request consideration. The consideration must be sent within 30 days from the date of online Purchase / Registration. The consideration for the Purchased Product is to be paid by a Business Associate, within the meaning of this Agreement. The facilities referred to in this sub-clause are hereinafter referred to collectively as "Product / Services.
  • c) It is mutually agreed between the parties that the Associate can evaluate the purchased Product online and the consideration should only be sent after complete satisfaction. If satisfied, then the consideration should reach at company's office within 30 days from the Date of registration. In case the Associate fails to send the consideration within the aforesaid 10 days period to the company, this Agreement will stand terminated or will be deemed as null and void ab-initio. The Associate would receive complete product from the company during this period. If Associate sent the consideration prior to 30 days, it would be deemed that he / she is completely satisfied with our product and agrees to all our Terms and Conditions.
  • d) All payments done to the Business Associate by the way of bank account transfers. No cash transactions should be entertained by the company and it is strictly instructed to the Business Associate not to accept any cash payments from the party all transactions should be done by Bank account transfers i.e Net Banking and Demand Drafts/Cheque/Debit Card/Credit Card/Debit Note.
  • e) The Company may add / delete any existing Products / Services at any time and may amend existing Terms and Conditions / Agreement at any time due to any reasons which are in the interest of Company's Business / Mission and the decision of the company in this regards would be final. During the subsistence of the agreement or thereafter, if any amendment / amendments are made then the effect of such amendments will be retrospective.
• 5. Business Associate Payouts & System of Payments
• • a) The Business Associate shall be paid various payouts based on the Revenue Plan of the Company (attached separately) for rendering services. All the payouts will be subject to TDS and other statutory compliance. TDS certificates will be issued on annual basis after making an online request.
  • b) The Business Associate shall be entitled or income as per the regular business volumes generated under formal guidelines of the company in this regard. The Company does not assure any Business Associate about any income just for mere joining the business.
  • c) In order to take the benefit of all the sales in Business compensation plan on continuous basis you must fulfill all conditions mentioned in our business section. Failing in any one would result in flushing of the entire sale volume.
  • d) Commissions / Incentives are not the right of any Associates; however, purchased products would be served for the purchased time period.
  • e) Company reserves the right to stop the commission and deny the renewal of purchased product of any Business Associate on the basis of personal observation or on the basis of any complaint received. Complaining Business Associate must send a genuine complain after complete verification only.
• 6. Duration/Renewal/Termination of Membership as Business Associate
• The term of this Agreement is one year and shall commence from the day the application of the Business Associate on the requisite format is received by the company online or offline, subject to the consideration received or to be received within the specified period. The term of the Agreement may be renewed by the company for another same period when a Business Associate renews the Product / Services / Package of the company on the same specified terms, for renewal a Business Associate has to pay Rs 500/- to enroll himself again as the business distributor again. Company reserves the right to alter the renewal amount if required.
• 7. General Rules &Obligations of the Business Associate
• • a) No Business Associate is authorized to collect or deal in cash on behalf of the company for any sort of business dealings.
  • b) The membership as Business Associate is restricted to concerned individual only who has applied for the same to the company. In no circumstances, the said membership or distributorship is transferable in any other individual’s name.
  • c) The Company will, in no case, entertain any communication without Track ID and Password.
  • d) The Company will not be answerable for any promise of assurance given by any Business Associate to any client.
  • e) The Company reserves its right to change the Terms and Conditions of the Agreement under which the Product / Services and Business opportunity of the company are being offered.
  • f) The company reserves the right to deny, in its sole discretion, before / after termination of this Agreement, user access to web site, facilities, products or services, without any notice or reason.
  • g) This Agreement constitutes the entire Agreement between the parties on the subject matter thereof, however, Associate / User understands that any Commitment, Terms and Conditions, as displayed on the web site of the company, will be treated as integral part of this Agreement , which would be binding on both parties. No additional promises, representation, guarantees or Agreements of any kind, shall have any validity concerning the subject matter of this Agreement.
  • h) If a Business Associate refers / recommends the Products / Services of the company to some other prospective user, and consequently decided to accept some incentives / commissions being offered by the company, then the Associate will be bound by Agreement / Terms and Conditions on the subject contained elsewhere in the company web-site, and the same Agreement / Terms / Conditions, will form a binding contract between the user and the company, and will be enforceable in the same manner as this Agreement, being subject to the same restrictions on jurisdictional.
  • i) Headings to clauses in this Agreement are for the purposes of references only, and shall not be construed as indicative for the purpose of interpretation of any clause.
  • j) If there is any conflict between the currently available user Agreement and other documents, Agreement available on the company's website shall govern, whether such other documents are being made / created prior to or subsequent to currently available user Agreement, or is signed or acknowledged by any Director, Officer, Employee, Representative or Business Associate of the Company.
  • k) Any lawsuit or bad propaganda against the company by any Business Associate will immediately disallow the ongoing commissions (if any) without any notice; however, they will be able to continue to use our services and products.
  • l) If we find any Business Associate involved in misguiding / spreading misunderstanding to other Business Associates about the company's rules / policies / activities / functioning directly or indirectly, would amount to immediate suspension of commissions without any prior notice. However, he / she will continue to enjoy learning through purchased product for the entire purchased period.
  • m) It is the duty of all the Associates to follow all the LEGAL (Terms and Conditions) of the company. We are a global company set up for providing Product / Services online. It is neither possible for us to have any control nor have any way to know for any violation done by any Business Associate unless we receive any complaint. Any action for any violation as indicated on our site would be initiated only after receiving a genuine complaint where the matter seems to lie in our jurisdiction. However, all our Business Associates are independent so they are responsible for their own wrong doings in their respective jurisdiction / States / Provinces / Countries and the affected Associates / Business Associates can directly take legal action against these wrong Associates / Business Associates directly in their respective jurisdiction.
  • n) Any sale done against the Terms and Conditions of the company by way of misrepresentation or otherwise solely for the purpose of earning commissions is not allowed and any Legal problem or losses arises due to this will completely be the responsibility of the Business Associate.
• 8. Authority / Confidentiality
• The Business Associate agrees that all tangible and intangible information received / gained / obtained / developed or disclosed including all documents, data, applications, negotiable instruments, papers and statements and any business / client information and trade secrets of the Company, relating to its business practices or critical to its competitive position in the market place in connection with the performance of this agreement as deemed by the Company, shall be kept confidential.
• 9. Independent Service Provider
• This appointment is on a principal basis and does not create any employer – employee relationship.
• 10. Non Exclusive Agreement
• It is expressly agreed and understood between the parties hereto that this appointment is on non-exclusive basis and the Company is free to engage as many Business Associate(s) as may be deemed fit in this regard.
• 11. Brand Name Uses
• Business Associate shall not use the brand name, trademark and / or logo of the Company in any business or personal affairs, other than routine business activities, under this agreement, in any manner, without prior written consent of the Company.
• 12. Development System
• The Company shall provide the Business Associate the requisite documents, forms, papers and other material to enable it to provide the said services. The Business Associate shall arrange to comply with the routine system as per the guidelines / requirements of the Company from time to time.
• 13. Limitation of Liability
• The Business Associate shall be liable to the Company for all or any claims, damages and expenses of any nature whatsoever arising directly or indirectly from any negligent, dishonest, criminal or fraudulent act of any individual assigned for the performance of the services under this appointment and / or for any loss and / or damage caused to the property of the Company, in particular to the Company’s documents etc. while in its possession.
• 14. Force Majeure
• In the event that any force majeure including but not limited to disaster, fire, war, civil commotion, strikes, government regulations or other occurrences beyond the control of either party should have happened and made it impossible for other party to perform its obligations set forth in this agreement, the provisions of this agreement, relative thereto, shall be suspended but only, as long as and so far as the impediment is existing. In the case of any such suspension, the parties hereto shall endeavor and sue their best effort to overcome the causes and effect of such suspension.
• 16. Arbitration, Jurisdiction And Disputes Resolution Mechanism
• All disputes between the Associate / User and the company arising out of or in relation to this Agreement directly or indirectly shall be first settled amicably through negotiation between the parties. In the event of the dispute not being settled amicably between the parties, the same shall be referred to the Sole Arbitrator appointed by the company under the Provision of Arbitration & Conciliation Act, 1996 and the venue shall exclusively be at Durg, C.G. only.
